These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Clovex LLC ("Clovex," "Company," "we," "us," or "our"), a limited liability company organized and operating in the State of New York.

By accessing or using our website at theclovex.com, submitting any application, form, or request for services, or by communicating with us via any channel — including phone, email, SMS, or web chat — you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you are using the Site or our services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that "you" refers to both you individually and that entity collectively.

Your continued use of the Site constitutes your ongoing acceptance of any modifications to these Terms as they are posted.

Clovex LLC is a revenue-based financing company that provides business funding both directly and through a network of third-party lending partners, financial institutions, and funding sources.

Our services include, but are not limited to:

• Providing revenue-based financing directly to qualified businesses;
• Reviewing and evaluating business funding inquiries and applications;
• Matching businesses with appropriate lending partners within our network based on revenue, industry, and other criteria;
• Providing guidance and support throughout the funding process;
• Offering access to capital ranging from $15,000 to $1,500,000 or more, subject to approval and eligibility.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

To use the Site and submit an inquiry or application for funding, you must meet all of the following eligibility requirements:

1. Age: You must be at least 18 years of age. By using the Site, you represent and warrant that you are 18 years of age or older.
2. Business Ownership: You must be a current owner, partner, officer, or authorized representative of an actively operating business. Our services are intended exclusively for business purposes, not personal, family, or household use.
3. United States Operations: Your business must be located in and operating within the United States of America. Our services are not available to businesses operating solely outside of the United States.
4. Legal Capacity: You must have the full legal authority and capacity to enter into binding agreements and to apply for financing on behalf of your business.
5. Compliance: You must not be prohibited by applicable law from accessing or using the Site or our services.

Clovex reserves the right, in its sole discretion, to refuse service, restrict access, or cancel any pending inquiry from any individual or business that does not meet these eligibility requirements or that we believe may pose a risk of fraud, misrepresentation, or legal non-compliance.

When you submit an inquiry, application, or any information through our Site, you agree to provide accurate, current, complete, and truthful information at all times. This includes, without limitation, information about your business, its financial condition, ownership structure, and any other details requested in connection with a funding inquiry.

You agree and represent that:

• All information you provide to Clovex and its lending partners is true, accurate, complete, and not misleading in any material respect;
• You will promptly notify us of any changes to information previously submitted that would materially affect your application or inquiry;
• You will not submit fraudulent, fabricated, or intentionally misleading information under any circumstances;
• You are authorized to provide the business and financial information you submit, including information relating to any co-owners, partners, or guarantors;
• You understand that Clovex and its lending partners may rely upon the information you provide when making decisions about your funding inquiry.

You understand that providing false, misleading, or inaccurate information may result in immediate disqualification from our services, referral to appropriate authorities, and potential civil or criminal liability under applicable law. Clovex reserves the right to verify any information you provide and to request additional documentation at any time.

If you create or maintain any login credentials, account profiles, or portal access in connection with our services, you are solely responsible for maintaining the confidentiality of those credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

By using the Site, submitting any form, inquiry, or application, or by providing your phone number or email address to Clovex in any manner, you expressly consent to receive communications from Clovex LLC and its authorized representatives, agents, and lending partners, including but not limited to:

• Telephone calls, including autodialed and prerecorded calls;
• Short Message Service (SMS) text messages;
• Multimedia Messaging Service (MMS) messages;
• Emails and electronic communications.

These communications may relate to your funding inquiry, application status, available products, offers from our lending partners, promotional information, and other matters related to Clovex's services.

You represent that you are the account holder or authorized user of any phone number or email address you provide, and that you are authorized to consent to these communications on behalf of the account. You agree to notify Clovex promptly if you change your contact information or if you are no longer the account holder of a phone number you have provided.

These communications are governed by applicable federal and state law, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act, where applicable. Nothing in these Terms is intended to limit rights or obligations under those laws.

The Site and all services provided by Clovex are offered on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Clovex expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose;
• Warranties of title or non-infringement;
• Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
• Warranties regarding the accuracy, reliability, completeness, or timeliness of any content on the Site;
• Warranties that the use of our services will result in funding, specific funding amounts, or particular loan terms.

When funding is provided through third-party lending partners, Clovex does not guarantee the products, services, or terms offered by those partners. Any funding terms, rates, fees, or conditions are subject to change and are determined based on business qualifications and the applicable funding product.

Information provided on this Site is for general informational purposes only and does not constitute financial, legal, tax, or investment advice. You are encouraged to consult with appropriate professional advisors before making any financial decisions.

To the maximum extent permitted by applicable law, Clovex LLC, its members, managers, officers, employees, agents, contractors, successors, and assigns shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of, or inability to use, the Site or our services, including but not limited to:

• Loss of profits, revenue, business opportunities, or data;
• Any errors, omissions, or inaccuracies in content on the Site;
• Any unauthorized access to or alteration of your information;
• Any failure or delay in the performance of the Site or services;
• Any act or omission of any third-party lending partner involved in your transaction;
• Any funding decisions, terms, or outcomes;
• Any reliance you place on information provided on or through the Site.

In all cases, Clovex's total aggregate liability to you for any claims arising under or related to these Terms or the services, regardless of the form of action, shall not exceed one hundred U.S. dollars ($100.00) or the amount actually paid by you to Clovex in the twelve (12) months preceding the claim, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be limited or excluded by applicable law.

The Site and all content, materials, and elements contained therein — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the overall design, layout, and look-and-feel of the Site — are the exclusive property of Clovex LLC or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

The "Clovex" name, logo, and all related marks, product names, trade names, and slogans are trademarks and service marks of Clovex LLC. You may not use any Clovex trademarks or service marks without our prior written permission.

You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for your personal, non-commercial use in connection with evaluating or obtaining our services. This license does not include:

• Any resale or commercial use of the Site or its contents;
• Downloading or copying of account information for the benefit of any third party;
• Any use of data mining, robots, scraping, or similar data gathering or extraction tools;

Violation of any prohibited use provisions may result in immediate termination of your access to the Site and our services, and may expose you to civil and/or criminal liability.

Clovex has no control over, and assumes no responsibility for, the content, privacy policies, practices, accuracy, legality, or reliability of any third-party websites or services. The inclusion of any link to a third-party website does not constitute or imply an endorsement, recommendation, or approval by Clovex of the linked site or any of its content, products, or services.

You acknowledge and agree that:

• Clovex shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party website or content;
• Your interactions with any third-party website, including any lending partners, are solely between you and that third party;
• You should review the applicable terms of service and privacy policies of any third-party websites you visit.

We strongly encourage you to exercise caution and conduct appropriate due diligence before engaging in any transactions with or providing personal or financial information to any third-party website linked from the Site.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Clovex LLC and its members, managers, officers, employees, agents, contractors, licensors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Site or services;
• Your violation of any provision of these Terms;
• Your violation of any applicable law, rule, or regulation;
• Any information you provide to Clovex, including any inaccurate, fraudulent, or misleading information;
• Your infringement of any intellectual property or other right of any person or entity;
• Any dispute between you and any third-party lending partner or other third party;
• Your conduct in connection with the Site or services.

Clovex reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Clovex in asserting any available defenses. You agree not to settle any claim without Clovex's prior written consent.

These Terms and any dispute arising out of or relating to these Terms, the Site, or our services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts of competent jurisdiction located in New York County, New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, Clovex reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction in order to protect its intellectual property rights or prevent irreparable harm.

If any provision of these Terms is found to be invalid, unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

Any waiver of any provision of these Terms shall not be deemed a continuing waiver or a waiver of any other provision, and Clovex's failure to assert any right under these Terms shall not constitute a waiver of that right.

Clovex LLC reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time. When we make changes, we will update the Effective Date at the top of this page to reflect the date the revised Terms become effective.

It is your responsibility to review these Terms periodically for any changes. Your continued use of the Site or services following the posting of any changes to these Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Site and services immediately.

We may, but are not obligated to, provide notice of material changes to these Terms via email, on-site notifications, or other reasonable means. Regardless of whether such notice is provided, changes are effective as of the updated Effective Date.

For significant changes that materially affect your rights or obligations, we will make reasonable efforts to notify you in advance where practicable.
